These Terms of Service (“Terms”) are a legally binding agreement between you and Shaxi Limited (“Shaxi,” “we,” “us,” or “our”), governing your access to and use of the Shaxi mobile app and website and all of the services we offer through them (together, the “Service”) — including Ride-hailing, Buy & Sell (our marketplace), Jobs, and the Shaxi Wallet & payments. These services are offered in Ghana.
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service.
The summary is a courtesy; the numbered sections below are what applies.1. Introduction
Shaxi is a technology platform that brings several services together in one app: ride-hailing, a Buy & Sell marketplace, a Jobs board, and the Shaxi Wallet for payments. Shaxi is an intermediary — it provides the platform that connects users with each other. Except where we clearly say otherwise, Shaxi does not itself provide transport, sell the items listed in the marketplace, employ the people who apply for jobs, or act as a bank. Specific rules for each service are set out below and apply in addition to the general terms.
2. Acceptance & Eligibility
By creating an account or using any part of the Service, you agree to these Terms. You must be at least 18 years old and able to enter into a binding contract. If you use the Service on behalf of a business (for example, as an employer or a marketplace store), you confirm you are authorised to bind that business to these Terms.
3. Your Account
To use most features you must register and keep an active account with accurate, up-to-date information such as your name, phone number, and email. You may add a payment method when you choose to transact. You are responsible for keeping your login details secure and for activity under your account, and you may hold only one account unless we agree otherwise. We may suspend or close an account that breaches these Terms or where required for safety, fraud prevention, or by law.
4. Conduct & Prohibited Use
Across all of our services, you agree not to:
- Use the Service for any unlawful purpose or in breach of any applicable law.
- Harass, abuse, threaten, or discriminate against any other user or Shaxi staff.
- Provide false, misleading, or fraudulent information, or impersonate any person or business.
- Post or share content that is illegal, hateful, obscene, or infringes someone else’s rights.
- Interfere with, scrape, or attempt to gain unauthorised access to the Service, or introduce malware.
- Use the Service to defraud others or to circumvent our fees, safety, or verification measures.
5. Ride-hailing
Shaxi connects riders with independent drivers; it does not provide transport itself.
5.1 Riders
- Provide accurate pickup and destination details and be ready at the pickup point.
- Treat drivers with respect, and pay the applicable fares and fees.
- Comply with the law and behave safely during the ride.
5.2 Drivers
- Hold a valid driver’s licence and the permits required by Ghanaian law, and keep your vehicle registered, insured, and roadworthy.
- Provide safe, professional service, comply with traffic laws, and do not discriminate against riders.
- You are an independent provider, not an employee of Shaxi.
5.3 Public estimates and app handoffs
SHAXI may provide anonymous ride estimates through approved third-party assistants. These estimates are time-limited, may change with traffic, pricing, eligibility, and driver availability, and do not book a ride or request a driver. A ride exists only after you sign in to the SHAXI Rider app, review the refreshed price and availability, select payment, and explicitly confirm the request.
6. Buy & Sell (Marketplace)
The marketplace lets users list items and contact each other. Shaxi is not a party to any sale between a buyer and a seller, does not take possession of items, and does not guarantee any listing, item, buyer, or seller.
- Sellers must own (or be authorised to sell) the items they list, describe them accurately, set a clear price, and must not list illegal or prohibited items. You are responsible for completing your sales and for any tax or legal obligations.
- Buyers are responsible for inspecting items and dealing safely. Meet in safe places and never pay before you are satisfied.
- Reviews and ratings must be honest and based on a real interaction.
- We may remove listings or stores that breach these Terms, and we provide reporting tools for unsafe or fraudulent content.
7. Jobs
The Jobs service lets employers post roles and lets job seekers apply. Shaxi is not the employer, is not a party to the employment relationship, and does not guarantee any job, application outcome, or hire.
- Employers must post genuine, lawful roles with accurate details, handle applicant data responsibly, and must never ask applicants to pay for a job, training, equipment, or an interview. Charging applicants is prohibited and may result in removal.
- Job seekers must provide accurate information and CVs and apply in good faith. Never send money to an employer; report listings that ask you to pay.
- Paid job-posting packages purchased by employers are governed by Section 9 (Payments) and the Refund Policy.
8. Events & Ticketing
The Events service lets organizers list events and sell tickets, and lets you buy tickets in the Shaxi app. Shaxi is a ticketing platform, not the promoter or host of any event. The organizer is responsible for the event taking place as described, for admission, and for the experience at the venue. This section applies to ticket buyers and to organizers using the Shaxi Organizer app.
8.1 Buying tickets
- Tickets are issued digitally as QR codes in the app once payment is confirmed. Present the QR code at the gate; each ticket admits one person and is voided once scanned. Screenshots or copies of a scanned ticket will be refused.
- Reservations are short. Selecting tickets holds them for a limited time (currently about 10 minutes) while you pay. If payment is not completed in time, the hold is released and any captured amount is returned to you.
- Prices and fees are shown before you confirm. The organizer sets ticket prices; any Shaxi or payment fee included in your total is displayed at checkout.
- Transfers: where the organizer allows it, you may transfer an unused ticket for a future event to another Shaxi user from the app. Transferred tickets belong to the recipient; the original QR code stops working.
- Cancelled events: if an event is cancelled by the organizer or by Shaxi, every paid order is refunded automatically — see the Refund Policy. Change-of-mind refunds, rescheduling, and entry disputes are governed by the organizer’s own policy shown on the event page.
- Do not resell tickets outside the app, buy tickets you know to be copied, or attempt to enter with a ticket that has already been used.
8.2 Organizers
- Free events can be listed by any account holder. Selling paid tickets requires a verified organizer profile. Verification involves submitting a government ID and, where applicable, a selfie and business registration document, which Shaxi reviews. We may decline, revoke, or suspend verification and may deactivate an organizer profile that breaches these Terms.
- You are responsible for your event: accurate listings, lawful content, any permits, licences, taxes, or levies that apply to your event, venue safety, and honouring every valid ticket at the gate. You must not list events that are unlawful, misleading, or that you have no authority to sell tickets for.
- Platform fee: Shaxi charges a commission on each paid ticket sold (currently a percentage of the ticket price, which may include a fixed component). The current rate is shown in the Organizer app before you publish paid ticket types, and we may change it with notice. Free tickets carry no commission.
- Payouts: your net proceeds accrue in your organizer ledger and are released to your Shaxi Wallet after a holding period following the event (currently about 72 hours) so that refunds and disputes can be settled first. Large payouts may be held for an additional review. Shaxi may offset refunds, chargebacks, or amounts you owe against your balance.
- Cancellations and refunds: if you cancel an event, or Shaxi cancels it for a breach, all paid orders are refunded to buyers and the corresponding sales are reversed from your ledger. You must honour any refund policy you publish on your event page.
- Gate scanning and staff: you are responsible for the devices and staff you authorise to scan tickets, for keeping scanner access secure, and for removing access when it is no longer needed. Shaxi records scan activity to protect buyers and organizers.
- Shaxi may pause ticket sales, hide an event, or withhold a payout while it investigates fraud, safety, or policy concerns.
9. Payments, Wallet & Fees
Some services involve charges — for example ride fares, marketplace promotions or subscriptions, job-posting packages, and event tickets. Charges (including any applicable taxes, tolls, or service fees) are shown in the app before you confirm, and we may change our fees from time to time.
You can pay by mobile money, card, or your Shaxi Wallet. Card and mobile-money payments are processed by licensed payment partners; we do not store your full card number. We keep a record of your wallet balance and transactions and issue receipts or invoices. Cancellations, refunds, and any related fees are handled in the app and under our Refund Policy.
10. User Content & Licence
You may submit content such as listings, photos, reviews, job posts, CVs, and messages (“User Content”). You keep ownership of your User Content. By submitting it, you grant Shaxi a worldwide, royalty-free licence to host, store, display, and use that content as needed to operate and promote the Service. You are responsible for your User Content and must have the rights to share it, and you agree not to post anything unlawful, infringing, or offensive.
11. Intellectual Property
The Service, including the Shaxi name, logo, software, and design, is owned by Shaxi Limited or its licensors. These Terms do not give you any right in our intellectual property except the limited right to use the Service as permitted here.
12. Disclaimers, Liability & Indemnity
The Service is provided “as is” and “as available.” Because Shaxi is an intermediary, we do not warrant the conduct, items, listings, jobs, or outcomes of other users, including drivers, sellers, buyers, employers, and applicants. To the maximum extent permitted by law, Shaxi is not liable for indirect, incidental, special, or consequential losses arising from your use of the Service or your dealings with other users.
You agree to indemnify and hold Shaxi and its affiliates harmless from claims, losses, and expenses arising out of your use of the Service or your breach of these Terms. Nothing in these Terms excludes liability that cannot be excluded under Ghanaian law.
13. Governing Law & Disputes
These Terms are governed by the laws of Ghana, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be settled by arbitration in accordance with the rules of the Ghana Arbitration Centre, unless the law requires otherwise.
14. Changes to These Terms
We may update these Terms from time to time. If a change is material, we will give at least 30 days’ notice before it takes effect, for example by posting the updated Terms here or notifying you in the app. Continuing to use the Service after a change takes effect means you accept the updated Terms.
